Terms of Service

These Terms of Service govern purchases of services from Delay Services through DelayServices.com, an approved sales representative, or a Delay Services payment page. For these Terms, “Delay Services,” “we,” “us,” and “our” refer to the merchant identified on the customer’s order and Stripe Checkout page. “Customer,” “you,” and “your” refer to the person or business purchasing services.
1. Service orders
Delay Services sells labor and services, including website planning, design, development, online business services, and approved related add-ons. We do not sell or ship physical merchandise through this checkout system.
Before payment, the customer receives an order summary showing the selected service package, included services, approved extras, one-time setup fee, recurring monthly amount if any, and customer information. That saved order summary, these Terms, and any written change approved by both parties form the service agreement.
2. Sales representatives
Sales representatives may present approved Delay Services packages and negotiate the customer price within company rules. A representative cannot promise services, products, delivery dates, refunds, ownership rights, or other terms that do not appear in the saved order or written approval from Delay Services.
3. Payment
Payments are processed by Stripe. The customer authorizes the one-time and recurring amounts displayed at Checkout. Delay Services does not require a salesperson to collect or store the customer’s complete card number. Applicable taxes and approved third-party costs are disclosed before payment when required.
4. Start of work and fulfillment ticket
A verified successful payment creates a website-build or service-fulfillment ticket for Delay Services administration. Opening a payment link without completing payment does not start work. Project timing begins after payment and after Delay Services receives the information, content, access, and approvals reasonably required for the work.
5. Customer responsibilities
The customer agrees to provide accurate contact, billing, business, and project information; respond to reasonable questions and approval requests; and provide lawful access to content, accounts, domains, and systems needed for the approved work.
The customer represents that it has permission to use all names, logos, photographs, text, trademarks, customer information, and other materials supplied to Delay Services. The customer must review names, phone numbers, addresses, business hours, claims, and final content for accuracy.
6. Scope, changes, and revisions
Only services listed in the saved order are included. Additional pages, integrations, content, revisions, expedited work, licensing, advertising, domains, hosting, telephone service, or other work may require a written change order and additional payment. Delay Services will not add a charge without presenting the change to the customer.
7. Website names, domains, and third-party services
A requested website name or domain is not guaranteed until registration is confirmed. Domain registrars, hosting companies, payment processors, communications providers, software providers, and other third parties have their own terms, availability, prices, and service limits. Third-party fees are the customer’s responsibility when disclosed in the order.
8. Dedicated business telephone lines
If the order includes a DelayServices.com-provided business line, the saved order must identify it as a dedicated provided line. Availability, number assignment, acceptable use, and continued operation depend on the applicable communications service and timely payment.
9. Approvals and completion
Delay Services may request customer approval at project milestones. A project can be delayed when the customer does not provide required information, access, content, or approval. Delivery dates are estimates unless Delay Services expressly agrees to a guaranteed date in writing.
10. Intellectual property
The customer retains ownership of materials it supplied. After full payment, the customer receives the rights stated in the applicable order for the final customer-specific deliverables. Delay Services retains ownership of its pre-existing tools, reusable code, templates, methods, know-how, internal systems, and third-party materials. Third-party components remain subject to their own licenses.
11. Recurring services
Hosting, maintenance, communications, support, and other continuing services may renew automatically at the amount and interval displayed at Checkout. Recurring charges are governed by the Recurring Payment Authorization and may be canceled under the Cancellation Policy.
12. Refunds and cancellations
Refund eligibility is governed by the Refund Policy. Stopping or canceling future recurring service is governed by the Cancellation Policy.
13. Acceptable use
The customer may not use Delay Services work or systems for unlawful, deceptive, infringing, abusive, malicious, or unauthorized purposes. Delay Services may pause work or service when reasonably necessary to protect customers, systems, providers, or the public.
14. No guaranteed business results
Delay Services will perform the approved services in a professional manner. Unless expressly stated in the order, we do not guarantee search-engine placement, traffic, leads, sales, revenue, uptime supplied by a third party, or any particular business result.
15. Limitation of liability
To the maximum extent permitted by law, Delay Services is not liable for indirect, incidental, special, consequential, or punitive damages, or for losses caused by inaccurate customer information, customer delay, unauthorized changes, or third-party services. Any direct liability is limited to the amount the customer paid Delay Services for the affected service during the six months preceding the claim. This limitation does not apply where prohibited by law.
16. Resolving concerns
Please contact billing@delayservices.com or use the Contact Us page before initiating a payment dispute so we can review the order and payment records. This request does not limit any legal rights.
17. Governing law
Unless applicable law requires otherwise, these Terms are governed by the laws of the state in which Delay Services is legally organized, without regard to conflict-of-law rules. The final published version must identify the confirmed governing state.
18. Changes to these Terms
We may update these Terms for future orders. The version accepted at Checkout remains part of that order unless the customer and Delay Services approve a written change.
